A law firm in Dallas, TX, is seeking an Income Tax Associate Attorney with at least 3 years of experience at an Am Law 100 or Am Law 200 firm. The ideal candidate should have significant experience working on corporate and partnership M&A transactions, including drafting and negotiating tax provisions in transaction documents and researching, analyzing, and resolving tax issues under Subchapter C of the Internal Revenue Code. Additionally, experience in the formation of joint ventures, drafting and negotiating partnership and LLC agreements, and resolving tax issues under Subchapter K of the Code is highly valued. Experience in the private equity space is also desirable.

Duties:

  • Work on corporate and partnership M&A transactions.
  • Draft and negotiate tax provisions in transaction documents.
  • Research, analyze, and resolve tax issues under Subchapter C of the Internal Revenue Code.
  • Assist in the formation of joint ventures.
  • Draft and negotiate partnership and LLC agreements.
  • Research, analyze, and resolve tax issues under Subchapter K of the Code.
  • Apply expertise to transactions in the private equity space.

Requirements:

  • 3+ years of experience at an Am Law 100 or Am Law 200 firm.
  • Significant experience in corporate and partnership M&A transactions.
  • Proficiency in drafting and negotiating tax provisions in transaction documents.
  • In-depth knowledge of tax issues under Subchapter C of the Internal Revenue Code.
  • Experience in the formation of joint ventures.
  • Proficiency in drafting and negotiating partnership and LLC agreements.
  • Strong understanding of tax issues under Subchapter K of the Code.
  • Experience in the private equity space (preferred).

Education:

  • Juris Doctorate (JD) from an accredited law school.
