Company is now looking to hire an Assistant General Counsel, M&A to join their growing legal team. This position will report to the Group’s Deputy General Counsel and can be based in Jersey City, NJ or Nashville, TN. The pay type for this position is salary.

## Responsibilities

As Assistant General Counsel, M&A, some of your responsibilities will include:

* Structuring, negotiating and drafting of contracts including bespoke agreements related to M&A; (re)insurance; and agreements ancillary thereto for life & annuity and property & casualty (re)insurance business lines
* Draft, negotiate and advise on commercial contracts, including vendor contracts, non-disclosure agreements and other general corporate contracts
* Advise on corporate and legal entity expansion and restructuring options
* Preparation of transaction-related materials for board, regulator, rating agency and other stakeholder review

## Qualifications

The ideal candidate will possess the following qualifications:

* Law degree and member in good standing of a State Bar
* Minimum of 2 years of relevant transactions experience with a highly recognized law firm or as in-house counsel
* Experience with and/or deep interest in insurance and reinsurance
* Demonstrated commitment to excellence in the provision of legal advice
* Strong analytic and problem-solving skills
* Collaborative approach
* Ability to work effectively in a high-pressured and fast-paced environment
* Excellent communication and interpersonal skills
* Ability to demonstrate flexibility handling multiple projects, both large and small, while maintaining a high level of detail-orientation
* Superior judgment
