We are looking for a Sr. Corporate Counsel-Commercial to join our team in San Diego. This role will provide legal advice and risk guidance to commercial business partners and key stakeholders related to a variety of activities, including review of promotional materials and resources, marketing strategies, salesforce initiatives and training, industry educational events and market access. This role will also draft and negotiate complex life sciences arrangements and contracts. ### Responsibilities: * Provide clear and business-savvy legal advice and risk guidance to commercial business partners and key stakeholders related to one or more of the following: * Commercial activities including review of promotional materials and resources, marketing strategies, salesforce initiatives and training, industry educational events and market access * Multiple activities related to commercial products and compliance with specific legislation (Anti- Kickback Statute, False Claims Act, and the Food Drug and Cosmetic Act) * Supporting the company’s Commercial, Regulatory, Patient Advocacy, Corporate Communications, Medical Affairs and general administrative departments through late phase drug development, pre-commercialization, regulatory approval, and commercialization * Routine counseling on corporate issues, including interactions with executive management * Variety of activities such as licensing, collaborations, agency and third-party vendor contracting, and other matters, including contract negotiations and post-execution implementation of complex business arrangements * Draft, negotiate, and advise clients on a broad range of legal and contractual matters to support the Company’s business, including but not limited to: vendor services agreements, consulting agreements, , license agreements, confidentiality, nondisclosure agreements, distribution agreements, payor and related market access agreements, and drug pricing matters * Interact closely with clients and third-party contracting parties to understand business requirements and ensure that contractual terms are consistent with the Company’s priorities and policies * May draft and manage template legal documents * Act as advisor on legal issues involving the organization’s government and regulatory compliance * Review legal data and advise organization on appropriate legal action * Coordinate legal matters handled by, and manage, outside counsel * Counsel clients on trademarks, trade secrets, advertising law, privacy ### Requirements: * and 10 years practice as an attorney in a well-regarded law firm and experience with a life sciences company, and/or a reputable, highly rated law firm with a focus on representing life science companies, or a combination of both * An active license to practice law in any state * Ability to draft and negotiate complex agreements * Ability to independently identify, analyze and render legal advice on complex issues, and understand the business impact of legal advice * Ability to deliver clear, concise and accurate advice, including the appropriate level of detail and anticipation of follow-up questions * Ability to build consensus with diverse stakeholders and third parties and form strong, collaborative working relationships with clients * Demonstrates expertise in several of the following: general corporate matters, including corporate organization and governance, healthcare and regulatory compliance, drafting transactional documents and agreements, employment law, data privacy, risk management, contract management * Expertise with respect to corporate compliance and transactional experience is required, including strong contract drafting skills * Recognized as external expert in a strategic job function * Requires broad and comprehensive expertise in leading-edge theories and techniques within a strategic job function * Applies ingenuity and creativity to problem analysis and resolution in complicated and/or novel situations * Influences internal/external business and/or industry issues that have an impact on Neurocrine * Ability to drive strategic direction into tactical plans * Ability to lead multiple teams * Strong leadership, mentoring skills and abilities typically supervises lower levels and/or leads indirect teams * Exceptional communications, problem-solving, analytical thinking, influencing skills. * Sets broader picture and longer-term vision for department * Ability to meet multiple deadlines across a variety of projects/programs, with a high degree of accuracy and efficiency * Excellent project leadership skills * Research skills * Decision-making and planning skills * Organizational skills ### Compensation The annual base salary we reasonably expect to pay is $215,,. Individual pay decisions depend on various factors, such as primary work location, complexity and responsibility of role, job duties/requirements, and relevant experience and skills. In addition, this position offers an annual bonus with a target of 35% of the earned base salary and eligibility to participate in our equity based long term incentive program.
