The Legal Counsel for Corporate and Commercial Transactions at Wolters Kluwer will be responsible for providing legal advice and guidance on a wide range of commercial and contractual matters related to the company's Corporate Performance and Environmental, Social, and Governance (CP & ESG) business unit. This is a hybrid role, meaning the candidate must be able to attend meetings and conferences in person, with a preferred office location in Tampa, FL. However, candidates residing near other Wolters Kluwer . offices will also be considered. The company is looking for a candidate with 2-5 years of corporate and commercial legal experience, preferably with experience at both a law firm and in-house. The target salary range for this position is $98,000-$156,650, depending on location and experience.

Key Responsibilities:

- Provide legal counsel on a broad spectrum of corporate, commercial, privacy, and regulatory matters related to CP & ESG and specifically the TeamMate product.
- Draft, negotiate, interpret, manage, and enforce various types of agreements, including customer agreements, vendor agreements, and partner, joint venture, and strategic alliance arrangements.
- Keep business representatives and Managing Legal Counsel updated on significant legal developments.
- Collaborate with other members of the Global Law and Compliance Department (GCLD) as needed.
- Manage outside counsel in a cost-effective manner when necessary.
- Promote consistency and standardization in processes, knowledge sharing, and technology automation.
- Develop a deep understanding of the CP & ESG business, people, organization, markets, products, customers, competitors, and regulatory environment.
- Educate business teams on contract forms and best practices, common clause objections, commercial and legal risks, and internal contract review and approval procedures.
- Support the GLCD's M&A, regulatory, employment, and litigation teams in matters related to CP & ESG TeamMate.
- Perform other duties as assigned by leadership.

Requirements:

- Bachelor's and law degrees (.) required.
- Must be admitted to practice law in the state where the assigned office is located.
- 2-5 years of corporate and commercial legal experience.
- Strong legal acumen and analytical skills.
- Familiarity with privacy laws and regulations or willingness to learn.
- Excellent drafting and negotiating skills.
- Strong communication and change management skills.
- High integrity and ethical standards.
- Proactive, energetic, and enthusiastic attitude.
- Ability to handle a heavy workload and multiple projects simultaneously.

Compensation:

- Target salary range for CA, CT, CO, HI, NY, WA: $112,000-$156,650
- Target salary range for all other locations: $98,000-$137,200
- Salary ranges are subject to change based on factors such as location, experience, and performance.
