Job Summary:

The Vice President and General Counsel at ABS Group serves as the chief legal adviser and leads corporate transactions, corporate governance, and other legal and commercial contract matters. This position manages a small legal department and provides legal counsel to the executive management team on all company activities and potential liabilities. The ideal candidate will have strong business judgment, the ability to work independently, and a sense of urgency to get things done.

Key Responsibilities:

- Develop short and long-term strategic and business plans for ABS Group, ensuring legal compliance with organic and inorganic growth initiatives.
- Write, review, negotiate, interpret, and manage all legal contracts and documents.
- Advise executive management team on new and existing laws and legal rights that may impact the business.
- Develop and implement policies and procedures to ensure compliance with international, local, state, and federal laws and regulations.
- Maintain records of registrations, business licenses, and other legal documents.
- Supervise outside counsel and craft legal strategy in response to litigation.
- Prepare operating budget for Legal Department and make changes as needed.
- Coordinate with Vice President of Finance to ensure risk management and loss prevention programs are in place.
- Provide corporate governance support, including taking and drafting board meeting minutes.
- Oversee implementation and maintenance of Health, Safety, Quality and Environment (HSQE) Management System.
- Manage Delegation of Authority (DOA) process and governance for the company.
- Serve as secretary of the Board of Directors during meetings.
- Support M&A transactions by providing legal counsel and advice.

Requirements:

- . or . in Jurisprudence with extensive legal experience in a law firm, government, or corporate law department.
- 7+ years of experience in corporate law, with emphasis on contracts and mergers and acquisitions.
- Strong negotiation skills and knowledge of all aspects of the legal field.
- Human relations skills to manage other attorneys and managers.
- Experience in Quality Management Systems and knowledge of HSQE Management System.
