The candidate will be responsible for managing and overseeing complex corporate transactions, mergers, and acquisitions. The role involves providing legal advice and support on various corporate matters, drafting and reviewing legal documents, and conducting due diligence for transactions.

Duties:

• Handle sophisticated corporate transactions such as reorganizations, restructurings, financing, acquisitions, and corporate governance.
• Manage and oversee complex corporate transactions, mergers, and acquisitions.
• Provide legal advice and support on a broad range of corporate matters.
• Draft and review legal documents, contracts, and agreements.
• Conduct due diligence for transactions.
• Review and draft corporate documents, including LLCs, buy-sell agreements, operating agreements, entity formations, partnership agreements, promissory notes, and employee stock plans.

Requirements:

10+ years of experience handling Corporate and M&A matters.

Education:

Juris Doctor (.) from an accredited law school.

Skills:

• Extensive experience in handling sophisticated corporate transactions.
• In-depth knowledge of Corporate and M&A law.
• Ability to manage and oversee complex transactions.
• Strong drafting and reviewing skills for legal documents.
