A law firm located in New York City is seeking a Corporate Associate Attorney with 2-4 years of meaningful corporate transactional experience in a law firm setting. The ideal candidate will have expertise in corporate finance, mergers and acquisitions, securities, and general corporate matters, along with strong writing, analytical, and communication skills. Membership in the New York Bar is required. Venture capital experience is strongly preferred for this role.

 

Duties:

  • Handle corporate finance transactions, including debt and equity offerings, and venture capital financing.
  • Assist in mergers and acquisitions transactions, including drafting and negotiating agreements, conducting due diligence, and advising clients on legal matters.
  • Provide legal advice and support on general corporate matters, such as corporate governance, compliance, and contractual issues.
  • Draft and review legal documents, including corporate agreements, securities filings, and transactional documents.
  • Collaborate with attorneys and clients to develop and implement transactional strategies.

 

Requirements:

  • 2-4 years of meaningful corporate transactional experience in a law firm setting.
  • Expertise in corporate finance, mergers and acquisitions, securities, and general corporate matters.
  • Strong writing, analytical, and communication skills.
  • Membership in the New York Bar.

 

Education:

Juris Doctor (.) from an accredited law school.

 

Certifications:

Membership in the New York Bar.

 

Skills:

  • Knowledge of corporate finance, mergers and acquisitions, securities regulations, and general corporate law.
  • Strong drafting and negotiation skills.
  • Analytical thinking and problem-solving abilities.
  • Ability to work effectively in a team environment.
