A law firm in Boston is seeking a highly qualified Complex Credit and Insurance Solutions Associate Attorney with 3-5 years of experience in complex credit fund formation and insurance solutions for private fund sponsors. The ideal candidate should have prior experience in private credit or Collateralized Loan Obligations (CLOs) and be well-versed in private fund formation.

 

Duties:

  • Draft and negotiate fund documentation, including private placement memoranda, fund agreements, subscription agreements, advisory agreements, placement agreements, legal opinions, and regulatory filings.
  • Manage fundraises from launch to close, overseeing the entire project, interfacing with clients, negotiating with investors (including side letter negotiation), reviewing subscription documentation, and managing the subscription process.
  • Demonstrate a comprehensive understanding of the Investment Advisers Act and other federal securities laws, including Regulation D, offering requirements and exemptions to the Investment Company Act.
  • Provide expertise in the legal aspects of complex credit and insurance solutions for private fund sponsors.
  • Ensure compliance with relevant laws and regulations governing private funds.

 

Requirements:

  • 3-5 years of experience working in complex credit fund formation and insurance solutions for private fund sponsors.
  • Prior experience with private credit or CLOs is a plus.
  • Proven experience in large law firms.

 

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the Bar in the jurisdiction of practice.

 

Skills:

  • Strong drafting and negotiation skills for fund documentation.
  • Project management skills, with the ability to oversee fund raises from initiation to closure.
  • Familiarity with the Investment Advisers Act, federal securities laws, Regulation D, and exemptions to the Investment Company Act.
  • Excellent communication skills for client interaction and investor negotiations.
  • Detail-oriented with a strong commitment to legal compliance.
