Job Overview:

The Associate Attorney will be crucial in negotiating concession agreements, long-term lease agreements, comprehensive agreements, and similar agreements within the Public-Private Partnership (PPP) space. The ideal candidate should possess substantial experience in negotiating secured financings, including credit agreements, pledge agreements, security agreements, and collateral agency agreements, as well as bond experience, including negotiating indentures, bond purchase agreements, and drafting disclosure documents.

Duties:

  • Negotiate concession agreements, long-term lease agreements, comprehensive agreements, and related design, construction, interface, operations, and maintenance agreements in the PPP space.
  • Handle negotiations for secured financings, including credit agreements, pledge agreements, security agreements, and collateral agency agreements.
  • Manage bond-related activities, including negotiating indentures, purchasing agreements, and drafting disclosure documents.
  • Collaborate with project finance and infrastructure team members to ensure seamless execution of legal processes.

Requirements:

  • 4-7 years of experience in a legal capacity, preferably with a focus on project finance and infrastructure.
  • Proven experience negotiating complex agreements within the PPP space.
  • Significant experience in negotiating secured financings and handling bond-related matters.
  • Juris Doctor (JD) from an accredited law school.
  • Admission to the New York State Bar.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admission to the New York State Bar.

Skills:

  • Excellent negotiation and communication skills.
  • Strong analytical and problem-solving abilities.
