The role involves assisting in drafting and negotiating various business contracts related to major transactions and day-to-day operations, as well as conducting due diligence and structuring work.

Duties:

• Analyze, structure, and document mergers, acquisitions, joint ventures, corporate formations, and restructurings.
• Address tax law issues within mergers and acquisitions and financing transactions.
• Draft and negotiate business contracts related to major transactions and daily operations.
• Conduct due diligence and structuring work.
• Collaborate with colleagues to support client needs effectively.

Requirements:

• 2-4 years of experience in corporate law.
• Interest or experience in tax law aspects of transactions (a plus).
• Strong drafting and negotiation skills.
• Admitted to the Illinois Bar or eligibility for prompt admission.
