# Associate Corporate Counsel - Fully Remote

Armstrong Transport Group, LLC (“Armstrong”) is a third-party logistics provider with offices in Charlotte, NC, Chicago, IL, Atlanta, GA, and Boise, ID, as well as 160 independent agent offices throughout the US and Canada. Armstrong is committed to providing quality logistics services and is now expanding its focus on cross-border freight, international work, and intermodal moves as well as managed transport.

Armstrong is now seeking an experienced Associate Corporate Counsel to join its legal team. The successful candidate will be responsible for drafting, reviewing, and negotiating complex commercial agreements, managing contract lifecycles, staying abreast of laws and regulations affecting the logistics industry, handling and resolving legal disputes, and more. This position is fully remote.

## Job Responsibilities

* Contract Drafting and Negotiation: Draft, review, and negotiate complex commercial agreements such as Shipper/Broker, Carrier Agent, and Vendor (Saas) agreements. Collaborate with business units to ensure that contracts align with company policies and comply with relevant legal requirements. Manage contract lifecycles in Armstrong’s CLM and otherwise assist with Vendor Management. Draft demand, cease and desist and denial letters to parties. Draft legal communication and otherwise assist General Counsel with all litigation management.
* Regulatory Compliance: Stay abreast of laws and regulations affecting the logistics industry and advise on compliance matters. Develop and implement compliance policies and training programs for employees involved in logistics operations. Assist with the procurement of insurance policies company wide.
* Dispute Resolution: Handle and resolve legal disputes related to logistics operations, including claims, litigation, and arbitration. Collaborate with General Counsel and/or external legal counsel when necessary and represent the company's interests in legal proceedings.
* Risk Management: As directed by the General Counsel, communicates legal advice to management on risk avoidance and risk management initiatives. Assists with investigations following emergency responses and catastrophic claims.
* Corporate Governance: Assist in matters related to corporate governance, including compliance with internal policies, procedures, and regulatory requirements. Support the legal team in corporate transactions and strategic initiatives.
* Legal Research and Analysis: Conduct legal research to stay informed about industry trends, best practices, and changes in relevant laws. Analyze and communicate the potential impact of legal developments on the company's 3PL operations.

## Qualifications

* Admitted to practice law in the relevant jurisdiction.
* 2-3 years of experience practicing law with a focus on logistics, transportation, or related fields.
* An understanding of 3PL operations, supply chain management, and logistics industry regulations.
* Excellent contract drafting and negotiation skills.
* Ability to work collaboratively with cross-functional teams and communicate legal concepts to non-legal stakeholders.
* Strong analytical and problem-solving skills.
