The ideal candidate will have experience in various corporate transactions, including equity financings, securities, mergers and acquisitions, and corporate governance matters. Impeccable written and verbal communication skills, strong analytical abilities, and excellent academic credentials are essential.

 

Job Details:

  • Handle various corporate transactions, including public and private equity offerings, private placements, initial public offerings (IPOs), and follow-on offerings
  • Draft and review legal documents, including proxy statements, S-4 registration statements, and other regulatory filings
  • Interface with the SEC and other regulators on behalf of clients
  • Advise public companies on ongoing reporting requirements under the 1934 Act, including 10-Ks, 10-Qs, 8-Ks, and proxy statements
  • Provide day-to-day counseling to public companies on corporate governance matters
  • Represent both issuers and underwriters in transactions
  • Counsel high-growth, early-stage businesses and active investors on incorporations, equity financings, and general corporate matters

 

Experience:

  • 3-6 years of substantive legal experience in corporate law
  • Experience working with high-growth, early-stage businesses and active investors

 

Education and Certifications:

  • Juris Doctor (.) degree from a nationally recognized law school
  • Admission to practice law in California

 

Skills:

  • Experience in corporate transactions, including equity financings and mergers and acquisitions
  • Strong understanding of securities laws and regulations
  • Excellent written and verbal communication skills
  • Analytical and problem-solving abilities
  • Ability to work independently and as part of a team
