Wolters Kluwer is seeking a Legal Counsel with 2-5 years of corporate/commercial legal experience to join their Corporate Performance and Environmental, Social, and Governance (CP & ESG) business unit. This is a hybrid role, with the preferred office location in Tampa, FL, but the company is open to considering candidates near other Wolters Kluwer . offices.

As Legal Counsel, the chosen candidate will be responsible for providing legal advice and guidance on a wide range of commercial and contractual matters, specifically related to Wolters Kluwer's TeamMate products and services. This role will involve working closely with the Managing Legal Counsel, as well as cross-functionally with the Global Law and Compliance Department team.

The ideal candidate will have a bachelor's degree and a law degree (.), as well as be admitted to practice law in the state where they will be located. They should also have 2-5 years of corporate/commercial legal experience, with experience at both a law firm and in-house being a plus. Strong legal acumen, drafting and negotiating skills, and understanding of privacy laws and regulations are also important for this role.

This position offers a competitive salary, with a target range of $98,000-$156,650 depending on location. Wolters Kluwer also offers a comprehensive benefits package, including medical, dental, vision, 401k with company match, and tuition reimbursement.

Key Responsibilities:

- Provide legal counsel and advice on corporate, commercial, privacy, and regulatory matters related to the TeamMate products and services.
- Structure, draft, negotiate, interpret, manage, and enforce various types of agreements, including customer agreements, vendor agreements, and partner arrangements.
- Stay updated on legal developments and keep business representatives and Managing Legal Counsel informed.
- Collaborate with the Global Law and Compliance Department team as needed.
- Manage outside counsel effectively and efficiently.
- Promote consistency and standardization in processes, knowledge sharing, and technology automation.
- Develop a deep understanding of the CP & ESG business, organization, markets, products, customers, competitors, and regulatory environment.
- Educate business teams on contract forms, best practices, clause objections, and internal review and approval procedures.
- Support the GLCD's M&A, regulatory, employment, and litigation teams as needed.
- Perform other assigned tasks as directed by leadership.

Qualifications:

- Bachelor's and law degree (.) required, with admission to practice law in the state where the candidate will be located.
- 2-5 years of corporate/commercial legal experience, with experience at a law firm and in-house preferred.
- Strong legal acumen, analytical skills, and understanding of privacy laws and regulations.
- Excellent drafting and negotiating skills.
- Effective communication and change management abilities.
