A law firm based in Pasadena is seeking a Senior Tax Attorney with 10+ years of experience in counseling clients on federal and California individual and business tax planning. The ideal candidate will assist clients in succession planning, entity formation and governance, and drafting essential business documents. Additionally, they will play a key role in M&A transactions and corporate and business transactions.

 

Duties:

  • Assist clients in succession planning, entity formation, and governance for businesses, tax-exempt entities, and individuals.
  • Draft essential business documents such as purchase and sale agreements, operating agreements, and buy-sell agreements.
  • Play a key role in M&A transactions, conducting due diligence, drafting contracts, and providing legal guidance throughout the transaction process.
  • Undertake work on corporate and business transactions, including mergers, reorganizations, acquisitions, dispositions, and dissolutions.
  • Counsel clients on federal and California individual and business tax planning, including income, estate, real property, and property taxes.
  • Ensure compliance with federal and California state tax laws.
  • Provide strategic tax advice to clients to minimize tax liabilities and maximize tax benefits.
  • Represent clients in tax disputes and controversies before the IRS and state tax authorities.

 

Requirements:

  • 10+ years of experience counseling clients in federal and California individual and business tax planning.
  • Extensive knowledge of federal and California state tax laws and regulations.
  • Strong understanding of succession planning, entity formation, and governance principles.
  • Experience in drafting essential business documents and conducting due diligence in M&A transactions.
  • Excellent analytical, problem-solving, and decision-making skills.

 

Education and Certifications:

  • Juris Doctor (.) degree from an accredited law school.
  • Admitted to the Bar in the state of California.
  • Certification in Tax Law preferred.
