A law firm is seeking a Corporate Associate Attorney for its Raleigh location. The Corporate Associate Attorney will assist clients who are industry leaders, particularly in the tech and biotech sectors, working on interesting and impactful technologies. The candidate must possess stellar academic credentials and demonstrate an interest in the startup ecosystem or working with growth companies. Preferred areas of experience include corporate transactions, mergers, and acquisitions, transactional due diligence, fundraising, and financings, including venture financings and convertible securities, day-to-day corporate experience, and familiarity with capitalization tables, Carta, and waterfalls/pro formas. A North Carolina Bar license is highly preferred; however, the ability to become licensed in North Carolina is required.

 

Duties:

  • Assist clients in the tech and biotech sectors with corporate legal matters.
  • Handle corporate transactions, including mergers and acquisitions.
  • Conduct transactional due diligence.
  • Assist with fundraising and financings, including venture financings and convertible securities.
  • Provide day-to-day corporate legal support, including counseling clients, drafting consents, and reviewing contracts.
  • Work with capitalization tables, Carta, and waterfalls/pro formas.

 

Requirements:

  • North Carolina Bar license is highly preferred; ability to become licensed in North Carolina is required.
  • Stellar academic credentials.
  • Demonstrated interest in the startup ecosystem or working with growth companies.

 

Education:

Juris Doctor (.) degree from an accredited law school.

 

Certifications:

Admission to the North Carolina State Bar (preferred).

 

Skills:

  • Strong understanding of corporate legal principles.
  • Excellent research and writing abilities.
