A law firm is seeking a Corporate Associate Attorney to join its team in Los Angeles, CA. The ideal candidate will support the Firm’s dynamic corporate practice, which encompasses mergers and acquisitions, securities, and a variety of other corporate transactions.

Job Overview:

  • Work alongside a team of recognized, highly experienced, and talented attorneys on significant and leading-edge transactional matters.
  • Experience in public and private equity offerings, including private placements, initial public offerings, follow-on offerings, PIPEs, proxy statements, and S-4 registration statements in connection with business combination transactions.
  • Counsel public companies on day-to-day corporate governance matters.
  • Provide exceptional client service in a fast-paced, high-stakes environment.

Duties:

  • Counsel public companies on corporate governance matters.
  • Lead significant projects and provide exceptional client service.
  • Engage directly with clients to meet their needs effectively.
  • Develop creative solutions to meet client needs.
  • Assist in mergers and acquisitions, securities offerings, and other corporate transactions.

Requirements:

  • 3-6 years of substantive legal experience in high-growth, early-stage businesses and active investors.
  • Impeccable written, verbal, analytical, and advocacy skills.
  • Enthusiasm and demonstrated success working in a fast-paced, high-stakes environment.
  • A can-do attitude and self-starter mindset.
  • Effective problem-solving skills.
  • Excellent academic credentials from a nationally recognized law school.
  • Admission to practice law in California.

Education & Certifications:

  • Juris Doctor (.) degree from an accredited law school.
  • Admission to practice law in California.

Skills:

  • Experience in public and private equity offerings.
  • Familiarity with ongoing reporting requirements under the 1934 Act for public companies.
  • Ability to collaborate effectively with a team of attorneys.
  • Strong organizational and time management skills.
