Job Title: General Counsel / Head of Legal
Experience: 10+ years’ Post-Qualified, Experience (PQE)
• 2 years’ in-house counsel experience
• 3 years’ experience as Head of Legal

Location: Sioux Falls, South Dakota

Responsibilities:
• Lead corporate strategic and tactical legal initiatives
• Provide senior management with expert and strategic legal advice
• Manage the legal function
• Set internal governance policies
• Obtain and oversee the work of outside counsel
• Hands-on involvement in complex business transactions and negotiating critical contracts
• Set the standard for company-wide compliance issues
• Ensure risk mitigation
• Improve business performance through the legal function

Contract negotiation, compliance, risk management:
• Drafting and reviewing contracts
• Negotiation, execution, and enforcement
• Define best-practice terms to negotiate to
• Focus on being commercially advantageous while incorporating downside and liability protections
• Maintain database of contracts
• Protect the company's intellectual property rights
• Monitor and address potential infringements or violations of intellectual property rights

Compliance, governance, and risk management:
• Monitor and ensure compliance with relevant laws and regulations
• Advise on legal and regulatory issues related to the communications and broadband service industry
• Advise executive management on corporate governance matters
• Provide guidance on environmental, health, and safety (EHS) functions

Manage legal spend efficiently:
• Work with executive leadership team to manage legal to budget
• Coordinate interactions with external counsel
• Define strategy of in-house execution vs. outsourced spend
• Advise on and manage the resolution of disputes and litigation
• Find pragmatic solutions to legal matters

Key member of executive leadership team:
• Oversees all matters of legal significance
• Serves as member of company's Executive Team
• Provides strategic counsel on legal, business, and operational matters
• Advises senior management on legal implications of major decisions, strategies, and transactions

Support M&A activities:
• Assist in management of external M&A legal firm
• Define strategy for in-house support of M&A activities
• Build and maintain M&A playbook
• Resolve post-acquisition legal issues

Manage risk profile of the business:
• Partner with leaders to develop and implement a corporate risk monitoring, identification, and mitigation strategy
• Review company-wide employee education and training for data privacy and security compliance
• Develop data privacy protocols, policies, notices, and consents
• Conduct periodic audits to ensure compliance with regulatory requirements
