Corporate Counsel, Agreements - Job Description

CooperVision, a leading manufacturer of soft contact lenses, is seeking a Corporate Counsel to join their team in San Ramon, CA. This role will report directly to the Director of Global IP and will be responsible for drafting and negotiating a variety of agreements for the company, including research agreements, clinical agreements, and procurement and service agreements. The ideal candidate will have 7+ years of relevant experience and be admitted to practice as an attorney in the United States.

Responsibilities:

- Draft, negotiate, and review various types of agreements for the R&D organization and other parts of the business.
- Advise on legal issues related to confidentiality, indemnification, data privacy, and intellectual property.
- Collaborate with business teams to ensure alignment on legal and business terms.
- Assist with maintaining and enhancing contract management system.
- Participate in R&D meetings to support third party collaborations.
- Develop solutions to mitigate risk, including addressing ownership and IP rights.
- Communicate legal advice in a clear and efficient manner.
- Assist with other legal needs of the company as necessary.

Qualifications:

- 7+ years of relevant experience.
- Admitted to practice as an attorney in the United States.
- Juris Doctorate degree from an accredited law school.
- Bachelor's degree from an accredited university.
- Experience drafting and negotiating clinical trial agreements and research and development agreements preferred.
- Strong organizational and project management skills.
- Excellent communication, interpersonal, and negotiation abilities.
- Familiarity with international issues affecting global companies.
- Knowledge of medical device technology and patents.
- Proficiency in Microsoft Office Suite and document management systems.

Working Environment:

- Normal home-office or office environment (minimum 2 days in office).
- Prolonged sitting in front of a computer.

Salary Information:

- Starting base pay between $175,243 and $233,657, with potential for additional compensation and benefits.

Travel Requirements:

- Up to 25% domestic and international travel as needed.
