A law firm in Newport Beach is seeking a Corporate Associate Attorney with 3-6 years of substantive legal experience in corporate law. The ideal candidate will have experience in public and private equity offerings, corporate governance matters, and counseling public companies. Strong written, verbal, analytical, and advocacy skills are required, along with excellent academic credentials from a nationally recognized law school and admission to practice law in California.

 

Duties:

  • Handle public and private equity offerings, including private placements, initial public offerings, and follow-on offerings.
  • Prepare and review proxy statements and S-4 registration statements for business combination transactions.
  • Interface with the SEC and other regulators on behalf of clients.
  • Ensure compliance with ongoing reporting requirements under the 1934 Act for public companies.
  • Provide day-to-day counseling to public companies on corporate governance matters.
  • Represent both issuers and underwriters in transactions.
  • Counsel high-growth, early-stage businesses and active investors on incorporations, equity financings, mergers and acquisitions, and general corporate matters.

 

Requirements:

  • 3-6 years of substantive legal experience in corporate law.
  • Experience with equity financings, securities, mergers and acquisitions, and general corporate counseling.
  • Impeccable written, verbal, analytical, and advocacy skills.
  • Excellent academic credentials from a nationally recognized law school.
  • Admission to practice law in California.

Juris Doctor (.) degree from a nationally recognized law school.
