Job Overview:

  • Become an integral part of the cross-disciplinary group.
  • Primarily serve Life Sciences clients in all facets of their corporate needs.
  • Responsibilities include general corporate services, SEC compliance and reporting, sell and buy-side transactions, financings, corporate governance, licensing/strategic partnerships, and IPOs.

Duties:

  • Provide legal counsel and representation to Life Sciences clients.
  • Draft and negotiate various corporate agreements, including licensing, joint venture, and strategic partnership agreements.
  • Advise clients on SEC compliance and reporting requirements.
  • Assist in the preparation and filing of IPOs.
  • Conduct due diligence for mergers, acquisitions, and other transactions.
  • Handle corporate governance matters for clients.
  • Collaborate with attorneys from other practice areas to provide comprehensive legal solutions.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the California State Bar in good standing.
  • Experience practicing corporate law, focusing on Life Sciences.
  • Proven track record of handling complex corporate transactions.
  • Strong understanding of SEC regulations and compliance requirements.
  • Excellent communication and negotiation skills.
