Job Overview: The Corporate Associate Attorney will be responsible for negotiating and drafting primary and ancillary documents for various corporate transactions, leading due diligence processes, and providing expertise in general corporate law and transaction structuring.

Duties:

  • Negotiate and draft primary and ancillary documents for mergers, acquisitions, divestitures, joint ventures, loan transactions, and other corporate transactions.
  • Lead mergers and acquisitions due diligence processes for both targets and acquirers.
  • Provide expertise in transaction and entity structuring, as well as related tax matters.
  • Communicate effectively, both verbally and in writing, with clients, colleagues, and other stakeholders.
  • Demonstrate excellent analytical and problem-solving skills with keen attention to detail.
  • Manage time efficiently to meet deadlines in a fast-paced environment.

Requirements:

  • A Missouri law license is required.
  • 3+ years of experience in negotiating and drafting corporate transaction documents.
  • Broad knowledge of general corporate law and transaction structuring.
  • Experience leading due diligence processes for mergers and acquisitions.
  • Superior communication skills, both written and verbal.
  • Excellent analytical and problem-solving abilities.
  • Outstanding organizational and time management skills.

Education & Certifications:

  • Juris Doctor (.) degree from an accredited law school.
  • Active membership in the Missouri State Bar.

Skills:
