Job Overview:

The Associate Attorney will support the firm's corporate law practice, focusing on private offerings, general venture capital and tech company corporate transactions, public company representation, and public offerings.

Duties:

• Conduct legal research and analysis related to corporate transactions.
• Draft and review legal documents, including contracts, agreements, and disclosures.
• Assist senior attorneys in negotiations and deal structuring.
• Provide legal advice and counsel to clients on corporate matters.
• Represent clients in meetings, hearings, and other legal proceedings.

Requirements:

• 3-5 years of relevant law firm experience with corporate law, preferably in a major law firm.
• Membership to the CA State Bar is required.
• Highly motivated individual with excellent academic credentials.
• Exceptional verbal and written communication skills.
• Superior negotiation and interpersonal skills.
• Ability to work independently and collaboratively in a fast-paced environment.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Membership to the CA State Bar.

Skills:

• Proficiency in legal research and analysis.
• Strong drafting and reviewing skills.
• Ability to provide sound legal advice and counsel.
