A law firm in San Diego is seeking a Mid-Level Corporate Securities Associate Attorney with 4-6 years of significant experience in SEC reporting, securities offerings, and related matters. The successful candidate will provide day-to-day support in handling SEC filings, prospectuses, press releases, and other corporate and securities matters.

 

Job Duties:

  • Provide day-to-day support for routine SEC filings, prospectuses, press releases, board consents, and standard corporate and securities matters
  • Handle public company reporting compliance and securities offerings
  • Draft private placement memoranda, subscription documents, venture capital financing documents, and related blue sky filings
  • Conduct legal research and analysis on corporate and securities law matters
  • Assist with due diligence reviews and document preparation for corporate transactions
  • Communicate effectively with clients, partners, and other team members

 

Requirements:

  • Juris Doctor (JD) degree from an accredited law school
  • Admission to the State Bar of California
  • 4-6 years of significant experience in SEC reporting, SEC filings, public and private securities offerings, and related matters
  • Excellent academic credentials
  • Strong critical analytical skills and attention to detail
  • Excellent written and verbal communication skills
  • Ability to work collaboratively in a team environment

 

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school
  • Admission to the State Bar of California
