Job Details:

  • Prepare, improve, annotate, and automate template documents.
  • Curate and organize forms, precedents, and other know-how.
  • Work with the legal education team to develop training and educational content in the practice group.
  • Coordinate with lawyers across practice groups and other personnel to ensure review, updating, and contributions for practice resources and external publications.
  • Monitor legal and regulatory developments relative to Private Companies, Life Sciences Regulatory, and Digital Health practices; prepare summaries and alerts and ensure new legal requirements are reflected in practice resources.
  • Develop content for Cooley publications, teach-ins, and other external-facing resources.
  • Assist attorneys with day-to-day requests for precedents, templates, and other resources.
  • Participate in various resource, knowledge management, and practice innovation and technology projects.
  • Perform all other duties as assigned or required.

Requirements:

  • Must be a licensed attorney.
  • 3-5 years of experience in a US corporate/transactional practice.
  • Well-developed skill set working with larger, later-stage private companies and main types of transactions and issues in day-to-day private company counseling.
  • A background or interest in life sciences and digital health is preferred.
  • Strong drafting skills are required.
  • Ability to handle multiple ongoing projects and coordinate with attorneys and stakeholders.
  • Associate experience running closings and coordinating diligence/disclosures on transactions preferred.
  • Detailed drafting and analysis skills are needed for template documents.
