This is an in-person role with a competitive salary and benefits package. As the Director, Assistant General Counsel - Corporate and Securities, you will play a key role in the preparation and review of SEC filings and related documents, as well as managing corporate governance matters and equity programs. You will also provide legal advice and support on transactions and corporate maintenance activities. Responsibilities: - Prepare and review SEC filings and related documents, including current and periodic reports, proxy statements, and registration statements. - Manage corporate governance matters, including board and committee materials, resolutions, and minutes. - Work closely with Investor Relations on earnings releases and investor communications. - Manage equity programs in connection with M&A transactions. - Administer the global employee equity program. - Provide legal advice and support on other transactions and corporate maintenance activities. - Develop, implement, and improve company and team processes and procedures. Minimum Requirements: - JD from an accredited law school and membership in at least one state bar, with the ability to practice in California. - 8+ years of experience, including 4+ years in corporate and securities work at a major law firm and in-house experience at a public company. - Excellent management skills and business judgment. - Ability to explain complex concepts in simple terms. - Strong organizational skills and ability to thrive in a fast-paced environment. - Flexible attitude and willingness to take on projects of all sizes. - Sense of humor and passion for the job.
