A law firm located in Wilmington is seeking a Corporate/M&A/Securities/Finance Transactional Attorney with at least 6 years of experience in corporate, M&A, securities, and/or finance transactions. The ideal candidate will have strong academic credentials and excellent oral and written communication skills. Applicable Bar admission is required for the jurisdiction in which the candidate is interested.

 

Duties:

  • Provide legal counsel and representation to clients in corporate, M&A, securities, and finance transactions.
  • Draft and negotiate transactional documents, including merger agreements, stock purchase agreements, financing agreements, and securities filings.
  • Conduct due diligence reviews and risk assessments for corporate transactions.
  • Advise clients on compliance with securities laws and regulations.
  • Assist with corporate governance matters, including drafting board resolutions and advising on corporate policies.
  • Collaborate with clients, partners, and other attorneys to develop and implement transactional strategies.
  • Handle all aspects of transactional closings, including coordinating with other parties and preparing closing documents.
  • Stay updated on changes in laws and regulations relevant to corporate, M&A, securities, and finance transactions.
  • Provide guidance and mentorship to junior attorneys and legal staff.

 

Requirements:

  • 6+ years of experience with corporate, M&A, securities, and/or finance transactions.
  • Applicable Bar admission required for the jurisdiction of interest.
  • Strong academic credentials with a Juris Doctor (.) degree from an accredited law school.
  • Excellent oral and written communication skills.
  • Ability to work effectively both independently and as part of a team.

 

Education and Certifications:

  • Juris Doctor (.) degree from an accredited law school.
  • Applicable Bar admission for the desired jurisdiction.

 

Skills:

  • Proficiency in drafting and negotiating transactional documents.
  • Strong analytical and problem-solving skills.
  • Detail-oriented with excellent organizational skills.
