The ideal candidate should possess significant experience and expertise in various areas of corporate law, particularly in real estate joint ventures, securities offerings, fund formation, mergers and acquisitions transactions, and securities transactional and regulatory matters.

Job Overview:

The Corporate Associate Attorney will provide legal counsel and support to clients on various corporate transactions and regulatory matters. The successful candidate will demonstrate excellent analytical skills, strong communication abilities, and a commitment to delivering high-quality legal services.

Duties:

  • Drafting and reviewing LLC agreements, LP agreements, and other related documentation for real estate joint ventures and securities offerings.
  • Providing legal advice and guidance on fund formation, including real estate, venture, and private equity funds.
  • Participating in mergers and acquisitions transactions, including asset and equity purchase transactions.
  • Advising clients on securities transactional and regulatory matters, ensuring compliance with applicable laws and regulations such as the Investment Company Act, the Investment Advisers Act, and the Securities Act.
  • Conducting legal research and analysis to support clients' business objectives and mitigate legal risks.
  • Collaborating with other attorneys and legal professionals to effectively represent clients and achieve favorable outcomes.

Requirements:

  • Bachelor's degree in Law or Juris Doctor (JD) from an accredited law school.
  • Admission to the State Bar of California.
  • 4-6 years of relevant corporate law experience, preferably focusing on real estate joint ventures and securities offerings.
  • Extensive experience in drafting legal documents, including LLC agreements, LP agreements, and fund formation documents.
  • Strong understanding of corporate transactions, including mergers and acquisitions, and securities regulatory matters.
  • Excellent academic credentials with a demonstrated track record of professional achievement.
  • Exceptional analytical, verbal, and written communication skills, with prior client interaction experience preferred.
  • Proven ability to work independently, manage multiple tasks efficiently, and thrive in a fast-paced, collaborative environment.
  • Prior experience with an AmLaw 200 firm is preferred.

Education & Certifications:

  • Bachelor's degree in Law or Juris Doctor (JD) from an accredited law school.
  • Admission to the State Bar of California.
