A law firm is seeking a Junior Corporate Associate Attorney for its Raleigh, NC, location. The Junior Corporate Associate Attorney will engage in hands-on drafting, negotiating, and day-to-day client communication on a daily basis. They will assist clients, particularly in the tech and biotech sectors, working on interesting and impactful technologies. Responsibilities include working with startups on entity formation matters, fundraising and financing transactions, corporate transactions including mergers and acquisitions, transactional due diligence, day-to-day corporate counseling, and managing capitalization tables. A North Carolina bar license is highly preferred, and the ability to become licensed in NC is required. The candidate should have stellar academic credentials from a high-caliber university.

 

Duties:

  • Drafting and negotiating agreements.
  • Communicating with clients on a daily basis.
  • Assisting industry-leading clients in the tech and biotech sectors.
  • Handling entity formation matters for startups.
  • Participating in fundraising and financing transactions, including venture financings convertible notes, and SAFE rounds.
  • Conducting corporate transactions, including mergers and acquisitions.
  • Performing transactional due diligence.
  • Providing day-to-day corporate counseling.
  • Reviewing contracts and drafting consents.
  • Managing capitalization tables, Carta, and waterfalls/pro formas.

 

Requirements:

  • 1-3 years of experience.
  • Stellar academic credentials from a high-caliber university.
  • A North Carolina Bar license is highly preferred; the ability to become licensed in NC is required.

 

Education:

Juris Doctor (.) degree from an accredited law school.

 

Skills:

  • Strong drafting and negotiation skills.
  • Excellent communication and interpersonal skills.
  • Ability to manage multiple tasks and deadlines effectively.
  • Attention to detail and analytical thinking.
  • Familiarity with corporate finance and venture capital.
