A Menlo Park, CA, law firm seeks a Mid-level Technology Transactions Associate Attorney with 3-6 years of solid experience. The ideal candidate will primarily work on structuring, drafting, and negotiating a variety of commercial, technology, and intellectual property agreements. They will serve as the IP specialist for M&A, venture capital, and other corporate transactions. Strong academic credentials and excellent written and oral communication skills are required. A background or interest in technology, working with emerging companies, and software and open-source software issues, along with large law firm experience, is preferred.

Duties:

  • Structure, draft, and negotiate commercial, technology, and intellectual property agreements.
  • Serve as the IP specialist for M&A, venture capital, and private equity deals.
  • Draft and review various commercial agreements, including license agreements, development agreements, distributor and reseller agreements, customer and supplier contracts, and OEM and manufacturing agreements.
  • Manage associated transactions and provide legal advice and guidance.
  • Conduct due diligence reviews related to technology and intellectual property matters.
  • Collaborate with partners, clients, and opposing counsel as needed.

Requirements:

  • 3-6 years of solid experience in technology transactions and intellectual property law.
  • Substantial background in technology transactions, including supporting M&A, venture capital, and private equity deals.
  • Strong academic credentials.
  • Excellent written and oral communication skills.
  • Background or interest in technology, emerging companies, and software and open-source software issues.
  • Experience in a large law firm setting is preferred.

Education:

  • Juris Doctor (.) degree from an accredited law school.

Certifications:

  • Admission to the California State Bar or eligibility for reciprocity.

Skills:

  • Proficiency in structuring, drafting, and negotiating complex agreements.
