A law firm in San Diego, CA, is seeking a highly experienced Senior Tax and Transactional Associate Attorney to join their team. The successful candidate will play a pivotal role in supporting the Corporate & Transactional and Private Client Practice Groups, providing expertise in tax planning, entity formation, and transactional matters. The ideal candidate should have a strong educational background, be licensed in California, and possess substantial experience in tax planning, corporate and partnership transactions, M&A, and other relevant areas. Additional experience in estate and gift tax planning, soft intellectual property, international corporate tax planning, and tax controversy matters is preferred.
Job Duties:
Provide expert legal counsel to clients in matters related to tax planning, including income, estate, and international tax, ensuring compliance with federal and state regulations.
Assist clients in entity formation and governance for both business and private clients, drafting essential documents such as operating agreements, bylaws, and promissory notes.
Play a key role in M&A transactions, conducting due diligence, drafting contracts, and providing legal guidance throughout the transaction process.
Undertake extensive work on corporate and business transactions, including mergers, acquisitions, and dispositions.
Preferred: Offer expertise in estate and gift tax planning, encompassing domestic, international, and pre-immigration planning.
Preferred: Handle matters related to soft intellectual property, including trademarks and copyrights.
Preferred: Provide guidance in international corporate tax planning, helping clients navigate complex cross-border tax issues.
Preferred: Address federal and state tax controversy matters, representing clients in disputes and providing resolution strategies.
Bring the experience of working with Big 4 firms or large law firms to the table as an asset.
A license in Texas is a plus.
Job Requirements:
At least 7 years of experience as an Associate Attorney with a focus on tax planning, corporate, and transactional law.
Graduated in the 90th percentile of their class from a recognized law school.
Must be a licensed attorney in the state of California.
An LLM in Taxation is required.
Substantial experience in federal and state income tax planning, both for individuals and corporations.
Comprehensive experience in handling corporate and partnership transactions, including drafting operating agreements, bylaws, and promissory notes.
Proven experience in Mergers & Acquisitions transactions, with a track record of successful deal completions.
Preferred: Proficiency in estate and gift tax planning, including domestic, international, and pre-immigration planning.
Preferred: Knowledge and experience in soft intellectual property matters, such as trademarks and copyrights.
Preferred: Expertise in international corporate tax planning and the ability to navigate complex cross-border tax issues.
Preferred: Prior experience in handling federal and state tax controversy matters, including representation and dispute resolution.
Experience with Big 4 accounting firms or large law firms is considered a valuable asset.
A license to practice law in Texas is a plus.
