A law firm in Palo Alto is seeking a Technology and IP Transactional Associate Attorney with 4-6 years of experience in technology and IP-intensive transactions or other relevant experience. The successful candidate will work on a wide range of transactions for public and private companies across various industries, including software, pharma and life sciences, consumer products, and media and entertainment. Matters will include mergers and acquisitions, financings, joint ventures, strategic alliances, software and systems agreements, outsourcing, R&D agreements, collaboration agreements, licenses (patent, trademark, copyright, and data/databases), and other commercial agreements. Outstanding credentials and qualifications are required.

 

Duties:

  • Handle a variety of domestic and international transactions for public and private companies.
  • Draft and negotiate agreements related to mergers and acquisitions, financings, joint ventures, and strategic alliances.
  • Structure and negotiate software and systems agreements, outsourcing agreements, R&D agreements, collaboration agreements, and other commercial agreements.
  • Advise clients on IP-related matters, including patents, trademarks, copyrights, and data/databases.
  • Conduct due diligence reviews and analyze legal issues related to technology and IP transactions.
  • Collaborate with clients and internal teams to develop and execute strategic plans.

 

Requirements:

  • 4-6 years of experience with technology and IP-intensive transactions or other relevant experience.
  • Juris Doctor (.) degree from an accredited law school.
  • Admission to the State Bar in the jurisdiction of practice.
  • Strong understanding of technology and IP law principles.
  • Excellent drafting and negotiation skills.
  • Outstanding academic credentials and qualifications.
  • Ability to work independently and collaboratively in a team environment.

 

Education:

Juris Doctor (.) degree from an accredited law school.

 

Certifications:

Admission to the State Bar in the jurisdiction of practice.

 

Skills:

  • Strong understanding of technology and IP law.
  • Excellent drafting and negotiation skills.
  • Ability to conduct due diligence reviews.
