A law firm in Phoenix is seeking a Mid-level Corporate and Securities Associate Attorney with 2-6 years of experience. The ideal candidate must have excellent academic credentials and experience in a large firm. They should be admitted to, or eligible for admission to, the Arizona Bar. The candidate should have experience with mergers and acquisitions, securities law (including SEC reporting requirements), public and private financings, corporate governance, and related business matters.

 

Duties:

  • Handle a variety of corporate and securities matters, including mergers and acquisitions, securities law compliance, public and private financings, and corporate governance.
  • Draft and review transactional documents, including merger agreements, stock purchase agreements, asset purchase agreements, and securities filings.
  • Conduct due diligence reviews for mergers and acquisitions.
  • Assist with negotiations and closings of corporate transactions.
  • Advise clients on securities law compliance and reporting requirements.
  • Prepare and file securities filings with the Securities and Exchange Commission (SEC).
  • Provide legal advice and guidance on corporate governance matters.
  • Collaborate with partners and senior attorneys on complex corporate transactions.
  • Stay updated on relevant laws, regulations, and industry trends.

 

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • 2-6 years of experience in corporate and securities law.
  • Excellent academic credentials.
  • Experience in a large law firm preferred.
  • Admitted to, or eligible for admission to, the Arizona Bar.

 

Education:

Juris Doctor (JD) degree from an accredited law school.

 

Certifications:

Admitted to, or eligible for admission to, the Arizona Bar.
