Job Overview: A law firm is seeking a Fund Formation Associate Attorney to be extensively involved in the formation, structuring, compliance, and ongoing management of various alternative investment funds. This role will also encompass working on related capital-raising transactions and managing equity investment processes. The ideal candidate should possess 2-6 years of experience in large law firms focusing on private fund sponsors and institutional investors.

Duties:

  • Participate in all aspects of the formation, structuring, and management of alternative investment funds across various strategies.
  • Work on capital raising transactions, including programmatic joint ventures and equity investment processes for independent sponsors.
  • Draft and review limited partnership agreements and limited liability company agreements for private investment funds.
  • Ensure compliance with relevant securities laws governing private placements, including Regulation D.
  • Review fund documents on behalf of institutional investors, identifying and addressing pertinent issues.
  • Prepare offering documents such as Private Placement Memorandums (PPMs) for fund offerings.

Requirements:

  • 2-6 years of experience in a large law firm specializing in private fund sponsors and institutional investors.
  • Strong understanding of market fund terms and common negotiation issues in the fund offering process.
  • Familiarity with the Advisers’ Act and related exemption, registration, and compliance issues for fund managers.
  • Excellent interpersonal skills with the ability to interact effectively with legal and business professionals.
  • Strong academic record with excellent writing and oral communication skills.

Education and Certifications:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the Virginia State Bar or eligibility for admission through reciprocity.

Skills:

  • Proficient drafting skills for limited partnership agreements and LLC agreements.
  • Familiarity with securities laws governing private placements, particularly Regulation D.
  • Ability to work independently and collaboratively with clients and colleagues.
  • Strong analytical skills for reviewing fund documents and identifying pertinent issues.
