Position Overview

The Corporate Counsel role at Synopsys is an exciting opportunity for a highly motivated individual with excellent interpersonal skills and a strong legal background. The successful candidate will join a customer-centric team and have the chance to work on complex transactions in North America. They will work closely with the sales and engineering teams, providing legal support and guidance on a variety of commercial contracts. Responsibilities

- Review, draft, and negotiate complex commercial contracts, including software license agreements, SOWs, NDAs, SaaS agreements, and purchase agreements.
- Attend customer negotiation calls and advocate for the company's position on contract issues.
- Analyze and interpret complex provisions in contracts and liaise with business stakeholders to ensure compliance and mitigate risk.
- Provide legal support to the sales and engineering teams, advising on legal and contractual matters in a fast-paced, high-growth environment.
- Stay up-to-date on industry and legal developments, and proactively identify and address potential legal issues.

Requirements

- 5-7 years of legal experience in a software company.
- Substantive transactional experience with complex contract and/or licensing agreements.
- . from an accredited law school.
- Licensed to practice law in California (preferred).
- Excellent business judgment and critical thinking skills.
- Ability to work independently and collaboratively in a dynamic team environment.
- Strong negotiation and communication skills.

Compensation

The base salary range for this role is $132,000 - $198,000, with the possibility of annual bonuses, equity, and other discretionary bonuses. The exact compensation package will depend on factors such as location, skills, experience, and education.
