Umpqua Bank, a leading western-based regional bank with over $50B in assets, is seeking a Senior Counsel to join their Corporate Legal team. The ideal candidate will have 10 years of experience as an attorney, with a focus on representing financial institutions or in-house positions with financial institutions. This role requires admission to the California, Oregon, and/or Washington bar associations, or willingness and ability to gain such admission.

About the Role:

As Senior Counsel, you will provide legal counsel to various bank departments, with a focus on pending or threatened litigation, depository and branch operations, fraud and other financial investigations, and state law and federal regulatory compliance. You will work closely with the Deputy General Counsel and outside counsel to oversee active and threatened litigation, advise on deposit relationships and services, and serve as a subject matter expert on federal regulations and state laws related to the bank's business activities. Other responsibilities include advising on lending structure and documentation, staying up-to-date on regulation changes, and maintaining a working knowledge of bank policies and procedures.

Key Responsibilities:

- Provide legal counsel to various bank departments, with a focus on pending or threatened litigation, depository and branch operations, fraud and other financial investigations, and state law and federal regulatory compliance
- Oversee active and threatened litigation associated with the bank's provision of banking services, developing and executing effective resolution strategies
- Advise on deposit relationships and services for Deposit Support and branch management teams
- Advise on issues related to subpoenas, garnishments, and levies for the Legal Services Support team
- Advise on ancillary commercial deposit services for the Treasury Management team
- Advise on fraud investigations for the Fraud Investigations team
- Advise on lending structure and documentation for approved loan transactions
- Stay abreast of developments in federal regulation and state law related to the bank's business activities
- Provide legal counsel to other teams as needed
- Serve as an internal point of contact for outside counsel
- Take personal initiative and provide a positive example for others to emulate
- Demonstrate compliance with all bank regulations and stay up-to-date on regulation changes
- Maintain working knowledge of bank policies and procedures

About You:

- or willingness and ability to gain such admission
- 10 years of experience as an attorney or equivalent work experience, with a focus on representation of financial institutions or an in-house position with a financial institution
- Working knowledge of federal regulation, state law, Uniform Commercial Code, and case law related to consumer and commercial depository relationships
- Working knowledge of state law related to secured transactions and creditor's rights preferred
- Working knowledge of state and federal court rules and procedures
- Ability to appropriately prioritize competing interests and stressful situations in a professional manner
- Ability to occasionally travel to other bank offices, court hearings, and attorney offices
- Valid driver's license
- Proficiency in Microsoft Office Suite
