A law firm in Charlotte is seeking a skilled Complex Credit and Insurance Solutions Associate Attorney with 3-5 years of experience in complex credit fund formation and insurance solutions for private fund sponsors. The ideal candidate will have prior work experience with private credit or CLOs, coupled with proficiency in private fund formation, negotiation of fund documentation, and familiarity with federal securities laws.

 

Duties:

  • Draft and negotiate fund documentation, including private placement memoranda, fund agreements, subscription agreements, advisory agreements, placement agreements, legal opinions, and regulatory filings.
  • Manage fundraises from launch to close, overseeing the entire project and interfacing with clients.
  • Conducted investor negotiation, including side letter negotiation, and reviewed subscription documentation, managing the subscription process efficiently.
  • Ensure compliance with the Investment Advisers Act and other federal securities laws, including Regulation D, offering requirements and exemptions to the Investment Company Act.

 

Requirements:

  • 3-5 years of experience in complex credit fund formation and insurance solutions for private fund sponsors.
  • Previous experience with private credit or CLOs is a plus.
  • Proven track record of working in large law firms.
  • Strong understanding of the Investment Advisers Act and federal securities laws.

 

Education:

Juris Doctor (JD) degree from an accredited law school.

 

Skills:

  • Excellent drafting and negotiation skills.
  • Project management expertise in overseeing fund raises from launch to close.
  • Familiarity with investment laws, including the Investment Advisers Act and Regulation D.
  • Ability to manage client interactions and investor negotiations effectively.
  • Detail-oriented with strong organizational skills.
