Target salary range all other locations: $98,000-$137,200 Legal Counsel (Corporate and Commercial Transactions) - Full Time - Wolters Kluwer - R0037517 H1: Legal Counsel (Corporate and Commercial Transactions) at Wolters Kluwer H2: Hybrid Role - Must be able to attend meetings and/or conferences onsite as needed Job Description: - Provide comprehensive legal counsel for corporate, commercial, privacy, and regulatory matters for Wolters Kluwer's Corporate Performance and Environmental, Social, and Governance (CP & ESG) business unit. - Draft, negotiate, interpret, manage, and enforce various agreements, including customer agreements, vendor agreements, and strategic alliances. - Keep business representatives and Managing Legal Counsel informed of significant legal developments. - Collaborate with the Global Law and Compliance Department (GLCD) team as needed. - Manage outside counsel efficiently. - Promote process consistency and standardization, share knowledge, and utilize technology to automate tasks. - Develop a deep understanding of CP & ESG's businesses, organization, markets, products, customers, competitors, and regulatory environment. - Educate business teams on contract forms, best practices, common objections, and internal review and approval procedures. - Support GLCD's M&A, regulatory, employment, and litigation teams in matters related to CP & ESG TeamMate. - Perform other assigned tasks by leadership. Requirements: - Bachelor's degree and Juris Doctor (.) required. - Must be admitted to practice law in the state where the assigned office is located. - 2-5 years of corporate/commercial legal experience. - Experience at a law firm and in-house preferred. - Strong intellect, legal acumen, and analytical skills. - Familiarity with privacy laws and regulations applicable to CP & ESG's business. - Excellent drafting and negotiating abilities. - Effective communication and change management skills. - High integrity and ethical standards. - Proactive, energetic, and enthusiastic attitude. - Ability to handle a heavy workload and multiple projects simultaneously. - Confidence to push for change and challenge the status quo. - Willingness to travel when necessary. - Poise and strong interpersonal skills. - Decisive and composed under pressure. - Team player with global and cross-functional experience. Salary Information: - Target salary range for CA, CT, CO, HI, NY, WA: $112,000-$156,650. - Target salary range for all other locations: $98,000-$137,200.
