Salt Lake City office of a BCG Attorney Search Top Ranked Law Firm seeks a corporate attorney with 10+ years of experience with respect to M&A, venture capital, and commercial finance, particularly with respect to middle-market transactions. The candidate should have familiarity with a wide variety of transaction types (., public company, a private company, stock purchase, asset purchase, cross-border, etc.). Substantive experience with commercial and venture finance, including representation of debtors, private equity firms, investment and mezzanine funds, and commercial banks essential. Significant experience with federal and state securities compliance, including, without limitation, IPOs and the preparation of securities disclosure documents for both publicly traded and privately held companies essential. Extensive experience structuring, negotiating, and closing mergers, acquisitions, asset purchases, private equity purchases, loan transactions, joint ventures, and strategic alliances needed. Experience managing due diligence, closings, regulatory filings, and post-acquisition integration is essential. Significant experience structuring and forming corporations, limited liability companies, partnerships, and other business arrangements needed. Bankruptcy, banking, and real estate experience are a plus. A portable book of business is preferred.
