Job Overview: A law firm is seeking a highly skilled and experienced Capital Markets Associate Attorney to join its team in Los Angeles, CA. The ideal candidate will have 4-6 years of experience with a strong background in . capital markets, including representation of underwriters, issuers, and placement agents in IPOs, follow-on public offerings, private placements, and other securities offerings. Experience in representing public companies in the ’34 Act work is a plus.

Duties:

  • Provided legal counsel and support to clients on various capital market transactions.
  • Draft, review, and negotiate various transactional documents, including offering memoranda, purchase agreements, and disclosure documents.
  • Conducted due diligence reviews and assisted with regulatory compliance matters.
  • Collaborate with other attorneys, clients, and third-party advisors to facilitate successful transactions.
  • Stay updated on relevant laws, regulations, and market trends affecting capital markets transactions.

Requirements:

  • Juris Doctor (.) degree from an accredited law school.
  • Admission to the California State Bar or eligibility to waive in.
  • 4-6 years of experience practicing law with a focus on capital markets transactions.
  • Proven track record of handling complex securities offerings and related regulatory matters.
  • Strong understanding of securities laws and regulations, including the Securities Act of 1933 and the Securities Exchange Act of 1934.
  • Excellent analytical, communication, and negotiation skills.

Education:

  • Juris Doctor (.) degree from an accredited law school.

Certifications:

  • Admission to the California State Bar or eligibility to waive in.

Skills:

  • Comprehensive knowledge of . capital markets and securities laws.
  • Ability to manage multiple projects and deadlines simultaneously.
