Overview:

Siemens Corporation is seeking a Counsel - Commercial Law to join their strategic legal team. This position will be remote, but requires availability during business hours in the Central US time zone. The Counsel will provide legal support to Siemens' Smart Infrastructure operations in the Americas, and will be responsible for drafting and negotiating contracts, managing claims, and providing legal advice to business partners. The ideal candidate will have a Juris Doctorate, 5+ years of legal experience, and proficiency in commercial transactions and claims management.

Key Responsibilities:

- Work closely with business partners to provide practical legal and business advice
- Draft and negotiate contracts with customers, vendors, and business partners
- Review contracts for applicable laws and provide risk mitigation strategies
- Coordinate legal advice with global legal colleagues
- Analyze and resolve matters with government agencies and commercial customers
- Review and provide legal advice on high-profile contracts, bids, and corporate matters
- Assist clients and stakeholders to avoid liability claims and manage claims and litigation when necessary
- Develop and provide legal training to the organization and ensure adherence to corporate policies

Qualifications:

Basic Qualifications:

- Juris Doctorate from a . accredited institution
- Licensed to practice law in one or more states
- 5+ years of legal experience in transactional law
- Proficiency in commercial transactions and claims management
- Effective communication skills with non-technical stakeholders
- Advanced knowledge of equipment sales contracts, solutions contracts, service contracts, and software licensing
- 5+ years of experience in drafting and negotiating contracts with SaaS vendors
- 5+ years of experience in drafting and negotiating financing documents and government contracts
- 5+ years of experience in drafting and negotiating large and complex commercial agreements for construction contracts
- 5+ years of experience in reviewing and negotiating Performance Energy contracts for renewable energy projects
- Legally authorized to work in the United States on a continual and permanent basis without company sponsorship

- Enthusiasm for learning and championing change
- Self-driven and resourceful
- Flexibility to adapt in a changing environment
- Excellent writing and presentation skills
- Familiarity with asset-based lending transactions
- Knowledge of legal issues in the construction, manufacturing, industrial, and software industries
