Job Overview:

The Private Companies Resource Attorney will play a pivotal role in enhancing the efficiency and quality of legal services provided by the firm, particularly in private company law, life sciences regulatory matters, and digital health practices. They will collaborate closely with attorneys and other personnel to maintain and develop legal resources, provide training, and stay updated on relevant legal and regulatory developments.

Duties:

  • Prepare, improve, annotate, and automate template documents related to private company transactions and counseling.
  • Curate and organize forms, precedents, and other know-how resources for easy accessibility by attorneys.
  • Collaborate with the legal education team to develop training sessions and educational content focused on private company law.
  • Coordinate with attorneys across practice groups and other firm personnel to ensure regular review, updating, and contribution to practice resources and external publications.
  • Monitor legal and regulatory developments relevant to private companies, life sciences regulatory, and digital health practices, and prepare summaries and alerts accordingly.
  • Develop content for the firm's publications, teach-ins, and other external-facing resources.
  • Handle day-to-day requests from attorneys for precedents, templates, and other resources.
  • Participate in various resource, knowledge management, and practice innovation and technology projects.
  • Perform any other duties as assigned or required.

Requirements:

  • Must be a licensed attorney.
  • 3-5 years of experience in a US corporate/transactional practice.
  • Well-developed skill set in working with larger, later-stage private companies and their day-to-day legal issues and transactions.
  • Background or interest in life sciences and/or digital health preferred.
  • Strong drafting skills are required, with detailed drafting and analysis experience for template documents.
  • Ability to handle multiple ongoing projects, effectively coordinating with attorneys and other stakeholders.
  • Associate experience running closings and coordinating diligence/disclosures on transactions is a transferable skill.

Education & Certifications:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the Bar in the relevant jurisdiction.

Skills:

  • Proficient in legal research and analysis.
  • Excellent written and verbal communication skills.
  • Strong organizational and project management abilities.
  • Proficiency in Microsoft Office Suite.
  • Familiarity with legal practice management software is a plus.
