This Corporate Counsel role will report to the General Counsel and be primarily responsible for software/hardware/services technology licensing and supply agreements (for both premise and cloud/hosted environments) for large and small corporate customers. Customers are located primarily in the United States and Europe. The position will also include responsibilities for, among other things, general vendor/supplier agreements, telecommunications services agreements, technology development and licensing agreements, drafting of corporate policies and procedures, and general legal work. This position is located in Atlanta, ;

Essential Duties and Responsibilities: 

  • Handle complex agreements with large and small corporate customers for licensing and provision of software/hardware/services solutions
  • Responsible for management of all types of corporate agreements, including customer agreements, distributor/reseller agreements, supplier and vendor agreements, and marketing agreements
  • Primary responsibilities will include managing customer contract negotiations and revisions for both licensing premise based solutions and providing cloud/hosted environment solutions
  • Responsibility for developing/improving corporate contracts, policies, and procedures
  • Participation in mergers and acquisitions activities 
  • Work on other special projects as directed
  • Ability to work well under pressure in a fast-paced environment and respond to urgent situations, as required

Education/Experience: 

  • JD Degree; licensed to practice law in Georgia (and in good standing)
  • 3+ years of in-house corporate attorney experience with software/technology licensing company
  • Proficient in Microsoft Word (Excel a plus)
  • Strong interpersonal skills with the aptitude to interact with executive officers and sales team
  • Substantial experience in all aspects of contract negotiation, including primary responsibility for management of the negotiation process, coordination of input of internal resources regarding various issues, and drafting of contract language (for standard corporate agreements and when working from proposed customer agreement forms)
  • Self-starter with good problem solving skills and ability to work independently without receiving sufficient training or completely clear direction
  • Must possess strong writing and analytical skills to independently review, draft, and prepare documents with good organizational and project management skills
  • Excellent customer service perspective with ability to confront conflict and difficult issues in a professional, assertive, and proactive manner
