Job Description:
As a Legal Counsel for the Corporate Performance and Environmental, Social, and Governance (CP & ESG) business unit at Wolters Kluwer, you will be responsible for providing legal advice and guidance on a wide range of commercial and contractual matters, specifically related to the TeamMate products and services. In this role, you will work closely with the Managing Legal Counsel, cross-functional teams, and outside counsel to structure, draft, negotiate, interpret, manage, and enforce all types of agreements. You will also be responsible for staying up-to-date on legal developments and educating business teams on contract forms and best practices. Additionally, you will support other legal teams within the company on matters affecting CP & ESG TeamMate.

Key Responsibilities:
- Provide comprehensive legal counsel on corporate, commercial, privacy, and regulatory matters impacting CP & ESG and specifically the TeamMate product
- Structure, draft, negotiate, interpret, manage, and enforce agreements such as customer agreements, vendor agreements, and partner, joint venture, and strategic alliance arrangements
- Keep business representatives and Managing Legal Counsel informed of significant legal developments
- Work cross-functionally with the Global Law and Compliance Department (GLCD)
- Manage outside counsel effectively and efficiently
- Promote consistency of process and standardization, encourage knowledge sharing, and support technology to automate tasks
- Develop a deep understanding of the CP & ESG businesses, people, organization, markets, products, customers, competitors, and regulatory environment
- Educate business teams on contract forms, best practices, common clause objections, and internal contract review and approval procedures
- Support GLCD's M&A, regulatory, employment, and litigation teams on matters affecting CP & ESG TeamMate
- Perform other assignments as designated by leadership

Qualifications:
- Bachelor's degree and law degree (.)
- Must be admitted to practice law in the state in which the candidate's assigned office is located, either directly, or with an in-house counsel/single-client exemption
- 2-5 years of progressively responsible corporate/commercial legal experience
- Experience at both a law firm and in-house a plus but not required
- Strong legal acumen and analytical skills
- General understanding of privacy laws and regulations applicable to CP & ESG's business (or a willingness to learn)
- Excellent legal drafting and negotiating skills
- Excellent communication and change management skills
- Unquestioned integrity and business ethics
- Proactive, energetic, and enthusiastic approach to all tasks
- Ability to handle a substantial workload and manage multiple, concurrent projects in time-pressured situations
