As the Associate General Counsel you will draft, review, and negotiate a variety of agreements, with a heavy emphasis on technology transactions, including software license agreements, professional services agreements, cloud services agreements, terms of sale, purchase order terms, confidentiality agreements, channel partner agreements, supplier, and IT agreements, all in support of Hexagon’s business operations.

Responsibilities:

Provide legal advice on and serve as the first point-of-contact for contract matters
Assist and support business in completing certifications and representations as requested by third parties
Ensure compliance with corporate and divisional policies and acceptable risk standards
Advise management of contractual rights and obligations and assist on requests for analysis of contracts in connection with business transactions
Actively identify and drive improvements to contract risk management and contracting efficiency
Collaborate closely with cross-functional teams and subject-matter experts with respect to commercial negotiation, intellectual property, privacy, cybersecurity, and compliance matters.
Work together with senior members of Hexagon’s legal team on project-based legal assignments and initiatives.
Stay current with developments in contract law and related regulations.

Qualification and Experience Juris Doctor degree from an accredited law school Membership in at least one U.S. state bar 2 + years legal experience in drafting, reviewing, and negotiating commercial technology and licensing agreements (e.g., cloud services agreements, software license and maintenance agreements, professional services agreements), in-house or in a law firm Ability to negotiate and draft commercial technology and licensing agreements Excellent contract drafting and negotiation skills Outstanding interpersonal skills Interest in being a true partner to our stakeholders and immersing yourself in the ins and outs of Hexagon’s business and the industries in which we operate Ability to work independently or as part of a team in a fast-paced environment. Knowledge of contract law and commercial transactions Highly motivated and solution oriented Strong analytical skills Strong organizational skills with the ability and willingness to manage multiple initiatives simultaneously to meet multiple time-sensitive deadlines Ability to interact with management, sales, and customers to effectively achieve business solutions within the acceptable Hexagon legal framework Capable of working effectively under pressure Strong business acumen and ability to make sound judgments Proficiency in MS Office, particularly MS Word Fluency and/or experience working in Spanish and/or Portuguese language is a plus
