A law firm in Charlotte is seeking a Capital Markets/Securities Associate Attorney with 4-6 years of experience at a large law firm with a sophisticated capital markets/securities practice. The candidate will work on capital markets transactions, securities regulation issues, corporate governance, and general business matters. Excellent academic record and strong communication skills are required, along with strong transaction management capabilities and experience supervising associates. Preferred experience includes advising clients in various capital markets transactions, while helpful experience includes assisting public companies on regulatory compliance and SEC reporting.

 

Duties:

  • Work on capital markets transactions, securities regulation issues, corporate governance, and general business matters.
  • Advise clients in capital markets transactions, including registered and Rule 144A/Reg S offerings of investment grade and high-yield debt, convertible debt, offerings of equity, PIPE transactions, ATM offerings, initial public offerings, price placements, and liability management transactions.
  • Assist public companies with regulatory compliance and SEC reporting, including proxy statements, quarterly and annual reports, and NYSE and Nasdaq rules.
  • Draft and review transactional documents, including offering memoranda, registration statements, and SEC filings.
  • Conduct legal research and analysis related to securities laws and regulations.
  • Communicate effectively with clients, opposing counsel, and third parties.
  • Supervise associates and provide guidance on transactional matters.

 

Requirements:

  • 4-6 years of experience at a large law firm with a sophisticated capital markets/securities practice.
  • Excellent academic record.
  • Strong communication skills.
  • Strong transaction management capabilities.
  • Experience supervising associates.

 

Education & Certifications:

Juris Doctor (JD) degree from an accredited law school.
