Corporate Contract Law Attorney Job Description

'Contract attorneys work part time. They make a temporary contract with a firm or an individual lawyer, perhaps for a given amount of time, or for a specific assignment. This job could be looked at as the “substitute teacher” of the legal world, but perhaps it can sometimes be better than that, with the freedom it gives attorneys to work on different kinds of assignments without long term investments into a given firm or establishing a private practice. As these lawyers are hired on a case-by-case basis, they are freelancers, having both the freedom and the lack of security that characterizes freelancers in all fields.

Here are a few sample contract attorney job descriptions:

Contract Attorney/Project Manager

The candidate should have previous experience using Clearwell and who have managed projects in the past.

Contract Attorneys - Structured Finance

The candidate should have solid background in securitization to support the capital markets group of this leading law firm. 3 + years of large law firm experience needed working on loan securitizations and more. Negotiate and structure transactions, draft agreements, conduct due diligence, organize closings and more. NYS Bar Admission required.

Contract Attorney - Securities

The candidate's primary responsibilities include: Draft, review and negotiate investment management agreements with large institutional clients and pension plans. Draft and review offering, subscription and other ancillary documents with respect to unregistered pooled vehicles. Review marketing materials associated with unregistered pooled products. Should have 7+ years of securities law experience, with concentration in investment management (INVESTMENT ADVISERS ACT OF 1940). Knowledge of and experience with ERISA, CFTC, Investment Company Act and hedge funds a plus.

Contract Attorneys

The candidate will work for 3-6 months. Must be fluent in French (native fluency or near native fluency). Must be admitted and in good standing in D.C. (pending D.C. admission will be considered).

Contract Attorney

The candidate should have substantive securities experience, and experience working on the software CASELOGISTIX, to work on a research and review project for 1-2 weeks starting as early as Monday, July 30. Must have substantive securities experience to be doing research and review. Caselogistic is a must.

Contract Attorney - Labor and Employment

The candidate will review and revise independent contractor agreements; research issues raised regarding UI and FLSA. Labor and Employment experience, ideally from a large firm. NYS admission is a must.

Senior Contracts Attorney

The candidate will be drafting and negotiation of employment contracts, agreements, etc. Should have 5-6 years of experience with labor & employment or contracts experience. Contracts experience from entertainment, financial or other industry background. CA Bar Admission required.'
