The candidate should have: (a) Five or more years in-house experience as a corporate secretary in a mid-to large-company. (b) Substantive expertise in public company regulations and governance practices, including disclosure standards, Sarbanes-Oxley, and the like. (c) Excellent organizational and leadership skills needed to run a corporate secretary function, organize board and shareholder meetings, supervise SEC and other regulatory filings,and handle other critical task. (d) Excellent inter-personal skills needed to interact smoothly with Kraft's multinational management and Board of Directors. The position will provide legal counsel and guidance to theBoard of Directors, senior management and employees on matters involving corporate governance, corporate securities and SEC reporting and compliance,including Sarbanes-Oxley compliance, periodic reports, proxy statements,NYSE compliance, disclosure, investor relations, and other corporate secretarial matters. The position supervises others.
