Job Title: Assistant General Counsel - Contracts

Job Responsibilities:
The Assistant General Counsel - Contracts is responsible for supporting senior professionals within the Legal Department to maintain strong, productive relationships with key internal clients while serving as a trusted legal advisor, legal risk manager, and business partner. The essential duties and responsibilities of this position include:

- Drafting and negotiating third-party supplier contracts, including Master Service Agreements (MSAs), Outsourcing Agreements (OSAs), consulting agreements, and Statements of Work (SOWs) on behalf of the company. This support covers various departments, including Enterprise Technology, Marketing, Finance, Enterprise Corporate Services, HR, Risk, Audit, Chief of Staff, Consumer and Small Business Banking, or Wholesale.

- Providing legal guidance and support on marketing, corporate communications, and non-profit matters. This may include reviewing collateral materials, press releases, print, TV, and online ad campaigns, clearances and releases, promotions, sweepstakes and contests, entertainment matters, and social media.

- Supporting attorneys within the Legal Department and lines of business under the supervision of another attorney.

- Assessing legal risk, providing legal advice on routine matters, and assisting in resolving legal problems that may pose potential exposure to the company.

- Keeping abreast of legislation, regulations, and case law developments that affect the company and the banking industry in the area of practice.

- Preparing and/or reviewing routine documents and other instruments, representing the company in transactions, litigation, bankruptcy matters, or alternative dispute resolutions (as applicable), performing legal research and analysis, maintaining files and records.

- Developing an initial area of specialization to support line(s) of business.

- Serving as an individual contributor but may provide ad hoc work direction and leadership to other legal staff regarding support on active cases or projects.

- Effectively addressing and supporting a substantial volume of varying highly complex matters with minimal supervision.

Education and Experience Information:
Required Qualifications:
- Juris Doctorate degree from an ABA-accredited law school and licensed to practice law in good standing.
- 5 years of post-bar experience in a law firm, government, and/or corporate settings.
- Strong written and verbal communication skills.
- Ability to prioritize matters, utilize time management skills, and move between matters fluidly.
- Ability to handle a heavy workload, manage stress effectively, and meet critical deadlines.
- Team-oriented mentality and excellent interpersonal skills.
- Demonstrated proficiency in basic computer applications, such as Microsoft Office software products.

Preferred Qualifications:
- Experience or related training in the financial services industry.
- Experience in a corporate legal department, especially a financial institution, having successfully held positions of advancing responsibility.
- An educational focus on business or finance.
- Comfortable working in the entrepreneurial environment of a large, complex corporation.
- Specific experience drafting and negotiating Marketing or Enterprise Technology contracts is a plus.
- Strong understanding of intellectual property and experience in providing legal advice and counsel on non-profit, brand marketing, and advertising-related matters.

Salary Information:
