Job Title: Senior Tax Associate, Mergers & Acquisitions

Job Responsibilities:
- Advise and consult clients on tax efficiency, benefits, and risks related to corporate and partnership transactions.
- Prepare and review analyses to assess federal and state tax consequences of transactions and manage the work product of Experienced Associates.
- Advise clients on transaction tax considerations, including buyer and seller historical tax positions, tax due diligence reports, structuring alternatives, and tax costs and benefits of proposed transactions.
- Assist clients with post-transaction integration matters, including purchase price allocation, tax amortization calculations, IRC Section 382 studies, Earnings and Profits calculations, and other Subchapter C and Subchapter K tax matters.
- Possess strong technical knowledge of corporate and partnership issues and transactional considerations.
- Interact with management daily and assist Managers in identifying and researching various client issues, regularly communicating with clients.
- Assist the corporate tax group during downtime, aiding various client service teams with general corporate tax matters, including tax compliance and ASC 740.

Education and Experience Information:
- Master's of Taxation (or equivalent) or Juris Doctorate degree highly preferred.
- Preferred background in Accounting, Finance, Economics, or related degree with a minimum GPA of .
- Advanced credential required, allowing for client representation before the Internal Revenue Service (., CPA or JD).
- At least 2 years of relevant work experience preferred.
- Knowledge of M&A practices preferred, including corporate, private equity, and tax integration.
- Knowledge in Subchapter C and Subchapter K transactional issues, consolidated federal tax returns, IRC Section 382, Earnings and Profits, purchase price allocations, and basis step-up calculations preferred.
- Strong leadership, multitasking, and organizational skills.
- Excellent communication skills, both written and verbal.
- Ability to interact with and gain respect from all levels of internal and client personnel.
- Excellent problem-solving and analytical skills.
- Proficient in technology, including MS Excel.

Salary Information:
- $91,250 - $150,000 a year. The actual salary may vary and could be outside the listed range depending on circumstances.
