An elite national law firm is seeking a Senior Associate to join its Corporate and Private Equity practice group. This is a career-defining opportunity for an experienced transactional attorney looking to work with a nationally ranked legal team advising clients across the private equity spectrum. The position involves high-level work with a focus on complex transactions and fund formations for both emerging and established market participants.

Location

  • Los Angeles, CA

Duties

  • Serve as lead associate in private equity deals, including:

    • Leveraged buyouts

    • Roll-up transactions

    • Minority and junior capital investments

    • Independent sponsor transactions

    • “Going private” acquisitions

    • Distressed asset acquisitions in and out of bankruptcy

  • Provide counsel on fund formation and structure, including:

    • Private equity

    • Growth equity

    • Venture capital

    • Mezzanine and real estate funds

  • Represent both fund managers and limited partners

  • Draft, negotiate, and manage complex legal documentation

  • Collaborate with internal teams across a large national platform

  • Advise clients independently with a high level of professional autonomy

Requirements

  • 5 to 7 years of experience handling acquisitions and private equity fund transactions

  • Proven ability to independently lead sophisticated deals

  • Active license with the Texas State Bar

  • Demonstrated success working with high-level clients

  • Experience in a fast-paced, national platform setting preferred

Education

  • Juris Doctor (.) from an accredited law school

Certifications

  • Must be licensed to practice law in Texas (in good standing)

Skills

  • Deep knowledge of corporate and private equity legal frameworks

  • Excellent drafting, analytical, and negotiation skills

  • Strong written and verbal communication abilities

  • Ability to manage multiple high-stakes matters simultaneously

  • Client-focused approach with sound business judgment

  • Experience engaging with sponsors, general partners, and institutional investors
